Senior Legal Counsel

About the role

The Senior Legal Counsel will lead Rydena’s legal operations on‑site, safeguarding commercial interests and supporting cross‑functional teams. You will independently manage complex contracts, ensure corporate compliance and drive digital transformation of the legal function.

Key responsibilities

• Draft, review, negotiate and execute a wide range of civil and foreign‑trade agreements, including supply, construction, service, transportation, lease, tolling, agency, licensing, NDAs, MOUs and LOIs.
• Conduct legal due‑diligence and risk assessments on counterparties, minimizing legal, financial and commercial exposure.
• Apply Incoterms® 2020, customs rules and international sanctions (OFAC, EU, UK OFSI) to trade transactions.
• Utilise Electronic Document Management Systems and define specifications for automated contract tools.
• Support board and shareholder meetings, prepare corporate filings and manage M&A related documentation.
• Provide legal advice to internal departments, handle power‑of‑attorney administration and draft internal policies.
• Assist with licensing, certification and permit applications, liaising with banks, notaries and government bodies.
• Implement AI‑driven workflows to improve legal department efficiency.

Required profile

• Higher legal degree with a specialization in Civil Law; advanced training in Contract Law or International Commercial Law is a plus.
• 7+ years of in‑house legal experience focused on contract law, preferably in large international manufacturing, trading, construction or engineering companies.
• Proven ability to work autonomously on complex contractual and corporate matters.
