Senior Legal Counsel

About the role

The Senior Legal Counsel at Rydena is a full‑time on‑site position responsible for driving the company’s legal operations, protecting commercial interests and supporting cross‑functional business teams.

Key responsibilities

• Manage the full lifecycle of complex civil and foreign‑trade contracts, including drafting, negotiation, due‑diligence and execution of supply, construction, service, transportation, lease, licensing and other agreements.
• Support corporate governance by preparing board and shareholder meeting materials, maintaining statutory registers, and handling M&A share transactions and corporate resolutions.
• Provide day‑to‑day legal advice to internal departments, oversee licensing and permit applications, and liaise with banks, notaries and government entities.
• Drive legal‑tech modernization by using an Electronic Document Management System, drafting specifications for automated contract tools and leveraging AI solutions to improve workflow efficiency.

Required profile

• Higher legal degree with a specialization in Civil Law; 7+ years of in‑house contract law experience, preferably in large international manufacturing, trading, construction or engineering companies.
• Strong knowledge of Incoterms®, foreign‑trade regulations, international sanctions (OFAC, EU, UK OFSI) and basic familiarity with English/Common Law and international arbitration.
• English proficiency at B2+ level and flexibility to handle urgent business‑critical tasks in accordance with Armenian labor law.

Required skills

• Expertise in Incoterms® and foreign‑trade compliance.
• Proficiency with Electronic Document Management Systems (EDMS) and advanced Track Changes/document formatting.
• Hands‑on experience with AI tools and neural‑network applications for legal productivity.
